EAST TEXAS SCHOOL STUDY COUNCIL
CONSTITUTION AND BYLAWS
Article I - Name
The name of this organization shall be
the East
Texas School Study Council.
Article II - Purpose
Section 1 - Purpose
The fundamental purpose of this
Council shall be to funtion as a cooperative educational service
provider, particularly to member school districts.
Section 2 - Programs and Services
The principle features of the
Council's programs include:
- Providing professional development
- Providing management studies
- Providing program evaluation
- Serving as a clearing house for
personnel needs
- Serving as a focus for discussion
and debate of educational issues
- Assisting with action research
- Publishing information related to
topics of interest
- Recognizing special accomplishments
within the field of education
Article III - Membership
The Council consists of Texas A&M
University - Commerce Department of Educational Administration as the
sponsoring institution, plus regional service centers, member public
school districts, non-public school districts, and other educational
agencies.
Section 1 - Participating Members
Participating members actively pursue
the programs of the Council in a cooperative manner. These
members are responsible for determining the programs of the Council
through established processes.
Section 2 - Executive Council Structure
A Member Executive Council is composed
of representatives of the university, educational service centers, and
member school districts. Representatives includes four (4)
members from the university, one (1) from each service center, and
representatives from member school districts.
Section 3- Selection of Executive Council Members
Members of the Executive Council who
represent school districts are selected by the Executive Council to
serve staggared three (3) year terms. Executive Council members
may be reappointed to serve one additional term. The executive
council of each regional service center shall appoint one
representative to serve on the Executive Council. University
representatives include the executive director, assistant director and
others as appointed by the Chairperson of the Department of Educational
Administration. The Chairperson of the Department of Educational
Administration appoints the executive director and assistant executive
director.
Section 4 - Board Officers
Council officers are Chairperson and
Secretary/Treasurer. The officers are elected by the Executive
Council. Officers are elected for two-year terms. They are
eligible for re-election.
Section 5 - Duties
The Executive Council is an
administrative committee, which consults with the Executive
Director. It determines and plans the Council's purpose,
programs, services, finances, regulations, and other components.
Section 6 - Regulations
The Council's operation is governed by
this document and by regulations and actions promulgated by the
Executive Council and in compliance with the policies of Texas A&M
University - Commerce. Such regulations are designed to carry on
regular and special programs and services of the Council. If a
member feels that a regulation or practice is in conflict with
provisions of the purpose of Bylaws, the matter may be brought to the
Executive Council for consideration.
Section 7 - Operating Procedures
The day-to-day operation of the ETSSC
is directed and managed by the Executive Director in accordance with
procedures specified in this document and action of the Executive
Council.
Article V - The Executive Director
The Executive Director is the
Council's chief administrative officer. He/she is a faculty
member of Texas A&M University - Commerce Department of Educational
Administration and is provided to the Council on a part-time basis at
no salary cost to Texas A&M University - Commerce. The
Executive Director has responsibility for general management of the
Council. He/she adheres to established policies and Bylaws.
He/She produces agendas, minutes, financial reports, and progress
reports on Council programs.
Article VI - Meetings
Section 1 - General Meeting
The Council conducts its annual
meeting of the general membership each summer. At this meeting,
members discuss needs and plans. An annual financial report is
distributed at this meeting. Other relevant discussion and
business may be conducted at this meeting.
Section 2 - Executive
Council Meetings
The Executive Council Meets at least
once per semester (fall and spring) of each academic year. A quorum of
members is required to transact business. Meetings are designed
to facilitate open discussion. However, Roberts Rules of Order
shall govern conduct of meetings. Members of the Executive
Council shall be notified at least 2 weeks prior to a meeting.
Section 3 - Agendas
The Executive Director, in
consultation with the Chairperson, establishes agendas for all meetings.
Article VII, Business Affairs
Section 1 - Fiscal Agent
Texas A&M University-Commerce
shall serve as fiscal agent with all monies held and managed separately
from other University funds.
Section 2 - Operating Budget
An annual financial budget of revenues
received from member districts is developed each year by the Executive
Director and ratified by the Executive Council.
Section 3 - Other Funds
Funds derived from service and the
enterprising nature of university and member district personnel may be
used for other purposes, including professional development,
honorariums, and to supplement the annual financial budget of the
Council.
Section 4 - Audits
Funds are audited in conjunction with
the regular audits of the Texas A&M University - Commerce.
